1. Definitions and interpretation
1.1 In the Agreement: "Ayzen", the "Provider", "we" or "us" means the contracting entity identified in clause 23. "Customer" or "you" means the person or entity that registers for an Account. "Service" means the Ayzen Dispatch software-as-a-service platform, comprising the administrative dashboard, the driver application and the customer portal, together with any related documentation and updates. "Account" means the Customer's registered tenancy on the Service. "Customer Data" means all data, records, images and content submitted to or generated within the Account by or on behalf of the Customer or its Authorised Users. "Authorised User" means any dispatcher, driver, customer of the Customer, or other individual to whom the Customer grants access to the Account. "Driver" means any individual, whether employee, contractor or otherwise, to whom the Customer assigns work through the Service. "Recipient" means any person to whom, or at whose premises, a delivery is made or attempted. "Delivery Record" means any photograph, signature, timestamp, location reading, status change or note captured through the Service in connection with a delivery. "Subscription" means the Customer's paid right of access for a stated Term. "Term" means the monthly or annual period for which a Subscription has been paid. "Applicable Law" means all laws, regulations, orders and binding guidance applicable to a party or to the activity in question.
1.2 Headings are for convenience only and do not affect interpretation. A reference to a clause is to a clause of these Terms. The words "including", "includes" and "in particular" are illustrative and are not words of limitation. A reference to a statute includes any amendment, consolidation or re-enactment of it and any subordinate legislation made under it. The singular includes the plural and the reverse.
1.3 No rule of construction requiring an agreement to be interpreted against the party responsible for its preparation shall apply to the Agreement, each party having had the opportunity to obtain independent legal advice before accepting it.
1.4 The Customer acknowledges that it has not relied upon any statement, representation, warranty, forecast or assurance other than those expressly set out in the Agreement, and that any statement made in marketing material, demonstrations, correspondence or discussion is superseded by it.
1.5 These Terms incorporate by reference the Privacy Policy, the Data Processing Agreement, the Refund Policy and the Cookie Policy, each as amended from time to time. Together these constitute the "Agreement".
2. Agreement and acceptance
2.1 By registering an Account, by accessing or using the Service, or by permitting an Authorised User to do so, the Customer accepts the Agreement and agrees to be bound by it. A person who does not accept the Agreement must not use the Service.
2.2 Where an individual accepts the Agreement on behalf of a body corporate or other organisation, that individual represents and warrants that they hold authority to bind it, and the Customer is that organisation. The Service is supplied for business purposes only and is not offered to consumers.
2.3 Acceptance is recorded electronically against the Account with a timestamp, and that record is conclusive evidence of acceptance in the absence of manifest error. The Provider may require renewed acceptance following a material amendment under clause 20.
3. Nature of the Service
3.1 The Provider supplies software only. The Service enables a courier or parcel delivery business to record orders, assign work to Drivers, capture Delivery Records and invoice its own customers.
3.2 The Provider is not a carrier, courier, freight forwarder, logistics provider, broker, agent or employer. The Provider does not transport, handle, store or take custody of any goods; does not perform, supervise, direct or control any delivery; does not employ, engage, contract with, train, vet or pay any Driver; and is not a party to any contract between the Customer and its Drivers, its customers or any Recipient. All transport and delivery services are supplied exclusively by the Customer, under the Customer's own name and on its own responsibility.
3.3 The Provider does not collect, hold, receive or remit money on behalf of the Customer. Invoices generated through the Service are issued by the Customer in its own name, and payment of them is a matter solely between the Customer and its customers.
3.4 Workflows for food delivery and laundry exist within the Service but are not supported, maintained or offered for sale, and no representation is made as to their fitness for any purpose.
3.5 The parties are independent contractors. Nothing in the Agreement creates a partnership, joint venture, agency, franchise, fiduciary or employment relationship, and neither party may bind the other.
4. Accounts and Authorised Users
4.1 The Customer shall provide accurate registration information and keep it current.
4.2 The Customer is responsible for all activity under its Account, including that of every Authorised User, as though it were the Customer's own, and for maintaining the confidentiality and security of all credentials. The Customer shall notify the Provider without delay on becoming aware of any unauthorised access or use.
4.3 The Customer warrants that it holds, and will maintain throughout the Agreement, all licences, permits, registrations, operating authorities and insurance required to conduct its business in each jurisdiction in which it operates. The Provider does not verify, and assumes no responsibility for, the Customer's compliance with any of them.
4.4 The Customer shall maintain insurance appropriate to the conduct of a delivery business, including commercial general liability and any cargo, motor vehicle, workers' compensation or employer's liability cover required by law or by prudent practice. The Provider carries no insurance in respect of the Customer's operations and none shall be assumed.
4.5 The Customer shall not permit access by any person who is not an Authorised User, and shall not resell, sublicense, rent, lease or make the Service available to any third party except as expressly permitted.
4.6 The Provider may, on reasonable notice, verify that use of the Service is within the limits of the Subscription purchased, and may require the Customer to move to an appropriate plan where usage exceeds them.
5. Drivers, Recipients and communications
5.1 Location tracking. The driver application records a Driver's location while that Driver is on shift. The Customer is solely responsible for informing each Driver that their location will be recorded and disclosed to the Customer, for obtaining any consent Applicable Law requires, and for using location data only for lawful purposes connected with the Driver's work. The Provider does not decide whether, when or why any Driver is tracked.
5.2 Safe operation. The driver application must not be operated by a person while driving or in control of a moving vehicle. The Customer shall instruct its Drivers accordingly, shall require compliance with all traffic and road safety laws, and is solely responsible for the manner in which its Drivers operate vehicles. Directions, routes, distances and times shown or produced by the Service are indicative only, do not account for road conditions, closures, restrictions or hazards, and must not be relied upon in place of the Driver's own judgment and observation of the road.
5.3 Devices. Where Drivers use their own mobile devices, the Customer is responsible for any agreement with its Drivers concerning those devices, their cost, their security, and any data, messaging or battery consumption attributable to the Service.
5.4 Communications to third parties. Messages sent through the Service to the Customer's customers or to Recipients are sent on the Customer's behalf and at its instruction. The Customer is solely responsible for their content and for obtaining every consent, and complying with every requirement, imposed by Applicable Law in respect of them, including Canada's Anti-Spam Legislation and any equivalent law in the Recipient's jurisdiction.
5.5 Regulated and prohibited goods. The Customer is solely responsible for determining whether any item it transports may lawfully be transported, and for complying with every licensing, age-verification, packaging, labelling and handling requirement applicable to it, including in respect of alcohol, cannabis, tobacco, pharmaceuticals, medical devices, dangerous goods, firearms and perishable goods. The Provider does not screen, verify or restrict the goods the Customer carries.
5.6 Workers. The classification, remuneration, supervision, training, safety, background screening and treatment of Drivers are matters solely for the Customer. Figures for driver pay or commission produced by the Service are calculated from rates the Customer configures, are provided as a convenience, and do not constitute payroll, tax or employment advice.
6. Subscription, fees and taxes
6.1 Access is supplied on a Subscription basis. Fees are those published at the point of purchase and are payable in advance for each Term.
6.2 Subscriptions renew automatically at the end of each Term at the then-current published fee unless cancelled before renewal. The Provider shall give not less than thirty (30) days' notice before a fee increase takes effect for an existing Account.
6.3 Fees are stated in Canadian dollars and are exclusive of sales, goods and services, harmonised and other taxes, which are added where required.
6.4 The Customer is solely responsible for the tax treatment of invoices it issues through the Service, including the tax rates and registration numbers it configures and the tax it charges, collects and remits.
6.5 Payment processing is performed by a third-party processor. The Provider does not receive or store payment card numbers.
6.6 Where a payment fails or is reversed, the Provider may suspend access until the amount due is settled. Sums unpaid after the due date bear interest at one and one half per cent (1.5%) per month, being eighteen per cent (18%) per annum, or the maximum rate permitted by law if lower, accruing daily until payment in full, whether before or after judgment.
6.7 All amounts are payable in full without set-off, counterclaim, deduction or withholding, save as required by law, in which case the Customer shall increase the sum payable so that the Provider receives the amount it would have received absent the withholding.
6.8 A Customer disputing an invoice in good faith shall notify the Provider in writing within fifteen (15) days of the invoice date, stating the grounds in reasonable detail, and shall pay the undisputed balance when due. Failure to notify within that period constitutes acceptance of the invoice.
6.9 Refund entitlements are governed exclusively by the Refund Policy.
7. Acceptable use
7.1 The Customer shall not, and shall ensure that no Authorised User shall: (a) use the Service in breach of Applicable Law; (b) upload or transmit unlawful, infringing, defamatory or malicious content; (c) attempt to access any account, tenancy or data belonging to another customer; (d) probe, scan, test or circumvent the security of the Service without prior written consent; (e) reverse engineer, decompile or disassemble any part of the Service, save to the extent that restriction is prohibited by law; (f) use automated means to extract data at a volume or frequency that degrades the Service; (g) remove or obscure any proprietary notice; (h) send unsolicited commercial communications; or (i) impersonate any person or misrepresent an affiliation.
7.2 The Customer shall not benchmark the Service for publication, nor make it available to a competitor of the Provider, without prior written consent.
7.3 The Provider may suspend access immediately and without prior notice where it reasonably believes conduct contrary to this clause 7 is occurring and presents a risk to the Service, to another customer or to any person. The Provider shall notify the Customer as soon as reasonably practicable and shall restore access once the risk is resolved. Suspension does not relieve the Customer of any obligation to pay and does not entitle it to any refund.
8. Customer Data and intellectual property
8.1 As between the parties, the Customer retains all right, title and interest in Customer Data.
8.2 The Customer grants the Provider a non-exclusive, worldwide, royalty-free licence to host, store, copy, transmit, display and process Customer Data to the extent necessary to supply, secure and support the Service, to comply with Applicable Law, and to act on the Customer's documented instructions.
8.3 The Provider does not sell Customer Data, does not use it for advertising, and does not use it to train machine learning models.
8.4 Personal information within Customer Data is processed in accordance with the Data Processing Agreement, under which the Customer is controller and the Provider is processor.
8.5 The Provider may compile aggregated and de-identified information concerning use of the Service, and may use it to operate, secure, analyse and improve the Service. Such information shall not identify the Customer, any Authorised User or any individual.
8.6 The Customer is responsible for maintaining its own copies of Customer Data. The Provider does not warrant against loss or corruption of data and gives no guarantee of recovery. The export facility within the Service exists for this purpose.
8.7 The Provider and its licensors retain all right, title and interest in the Service, including all software, interfaces, designs, documentation, trade names and trade marks, and all improvements to them. No right or licence is granted except the limited right of access expressly stated. Feedback and suggestions may be used by the Provider without restriction, attribution or obligation.
9. Delivery Records
9.1 Delivery Records are captured by Drivers using devices the Provider does not control, and their accuracy depends on those Drivers, those devices, and the conditions at the time. The Provider does not warrant that any Delivery Record is accurate, complete, authentic, or sufficient to establish that a delivery occurred, for any purpose, including as evidence in any claim, dispute or proceeding.
9.2 Location readings are derived from the device and from third-party positioning services and may be imprecise, delayed or unavailable. Signatures captured on screen are not verified against the identity of the signatory.
9.3 Delivery photographs are retained for the period stated in the Privacy Policy and are then permanently deleted. The Customer shall export any Delivery Record it may need to retain for a longer period, including for the resolution of a dispute, before that period expires. The Provider bears no liability for the unavailability of a Delivery Record after deletion in accordance with that policy.
10. Third-party services
10.1 The Service depends upon third-party infrastructure and service providers, including for hosting, storage, payment processing, electronic mail, mapping, positioning and notification delivery, which are identified in the Data Processing Agreement.
10.2 The Provider is not responsible for the acts, omissions, availability or continuity of any third-party service. An interruption, degradation or change originating with such a provider does not constitute a breach of the Agreement by the Provider.
10.3 Where the Customer integrates a third-party service of its own choosing, it does so at its own risk and subject to that third party's terms, and the Provider has no responsibility for that service or for data once transmitted to it.
11. Availability, support and modifications
11.1 The Provider will use commercially reasonable efforts to keep the Service available. No service level, uptime commitment, response time or resolution time is offered, and none shall be inferred.
11.2 The Service depends on the internet, mobile networks and devices that are outside the Provider's control, and may be subject to limitations, delays and failures inherent in them. The Provider is not responsible for any delay, delivery failure or damage resulting from them.
11.3 The Provider may perform maintenance, and may modify, add, suspend or discontinue features at its discretion. Where a modification materially reduces core functionality, the Provider will give reasonable notice where practicable.
11.4 Support is provided by electronic mail during ordinary business hours in the Province of Ontario. No telephone support line is maintained.
11.5 Features identified as beta, preview, trial or experimental are supplied for evaluation only, are excluded from every warranty and commitment in the Agreement, and may be altered or withdrawn without notice.
12. Warranties and disclaimers
12.1 Each party warrants that it has the legal capacity and authority to enter into and perform the Agreement.
12.2 EXCEPT AS EXPRESSLY STATED IN CLAUSE 12.1, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", AND THE PROVIDER DISCLAIMS ALL WARRANTIES, CONDITIONS AND REPRESENTATIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE, INCLUDING ANY WARRANTY OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, QUIET ENJOYMENT AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.
12.3 Without limiting clause 12.2, the Provider does not warrant that the Service will be uninterrupted, timely, secure or error-free, that defects will be corrected, or that any estimate of price, distance, duration or arrival time will prove accurate. Estimates are indicative only, and the Customer is responsible for every figure it presents to its own customers.
12.4 The Customer is solely responsible for the accuracy and lawfulness of Customer Data and for its own commercial and operational decisions, whether or not informed by the Service.
13. Limitation of liability
13.1 Nothing in the Agreement excludes or limits liability for fraud, fraudulent misrepresentation, or any liability which cannot lawfully be excluded or limited.
13.2 SUBJECT TO CLAUSE 13.1, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL LOSS, NOR FOR ANY LOSS OF PROFIT, REVENUE, BUSINESS, ANTICIPATED SAVINGS, GOODWILL, REPUTATION, CONTRACT OR OPPORTUNITY, NOR FOR ANY LOSS OR CORRUPTION OF DATA, HOWEVER ARISING AND WHETHER OR NOT THE POSSIBILITY OF SUCH LOSS WAS ADVISED OR FORESEEABLE.
13.3 SUBJECT TO CLAUSE 13.1, THE AGGREGATE LIABILITY OF THE PROVIDER ARISING OUT OF OR IN CONNECTION WITH THE AGREEMENT, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), BREACH OF STATUTORY DUTY OR OTHERWISE, SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY THE CUSTOMER TO THE PROVIDER IN THE THREE (3) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
13.4 The cap in clause 13.3 is an aggregate cap across all claims and is not a cap per claim. A series of connected events gives rise to a single claim.
13.5 Without limiting clauses 13.2 and 13.3, the Provider bears no liability arising out of: the physical performance or non-performance of any delivery; the conduct of any Driver; any vehicle accident, injury, death or damage to property occurring in the course of the Customer's operations; the loss of, damage to or delay of any consignment; the nature or legality of any goods carried; any communication sent on the Customer's behalf; or any dispute between the Customer and its Drivers, its customers or any Recipient.
13.6 No action arising out of or in connection with the Agreement may be brought by the Customer more than one (1) year after the cause of action accrued, save where a longer period cannot lawfully be excluded.
13.7 The limitations and exclusions in this clause 13 apply equally to the Provider's affiliates, directors, officers, employees, contractors and suppliers, each of whom may rely upon them.
13.8 The Customer acknowledges that the fees reflect the allocation of risk in this clause 13, that the limitations are reasonable having regard to that allocation, and that the Provider would not supply the Service on these fees absent them.
14. Indemnity
14.1 The Customer shall defend, indemnify and hold harmless the Provider and its affiliates, directors, officers, employees and contractors against all claims, demands, proceedings, investigations, losses, damages, fines, penalties, liabilities, costs and expenses (including reasonable legal fees) arising out of or in connection with: (a) the Customer's business and operations, including any delivery performed, attempted or omitted; (b) any act or omission of a Driver; (c) any claim by a Driver, a customer of the Customer, a Recipient, an insurer or a regulator; (d) any vehicle accident, personal injury, death or property damage; (e) the goods carried; (f) communications sent on the Customer's behalf; (g) Customer Data, including any claim that it infringes a third party's rights or was collected or processed unlawfully; and (h) any breach by the Customer of the Agreement or of Applicable Law.
14.2 The Provider shall notify the Customer of any claim to which clause 14.1 applies, shall permit the Customer to conduct its defence with counsel reasonably acceptable to the Provider, and shall not settle it without the Customer's consent, which shall not be unreasonably withheld. The Customer shall not settle any claim in a manner that imposes an obligation or admission upon the Provider without its prior written consent.
15. Confidentiality
15.1 Each party shall keep confidential all non-public information disclosed by the other, shall use it only for the purposes of the Agreement, and shall protect it with no less care than it applies to its own confidential information and in any event with reasonable care.
15.2 Clause 15.1 does not apply to information which is or becomes public otherwise than by breach, was lawfully known to the recipient before disclosure, is independently developed, or is required to be disclosed by law or by a competent authority, provided that the disclosing party is notified in advance where lawful to do so.
16. Compliance, sanctions and anti-corruption
16.1 Each party shall comply with Applicable Law in the performance of the Agreement, including law concerning data protection, employment, transport, anti-spam, bribery and corruption, and economic sanctions.
16.2 The Customer represents that neither it nor any person owning or controlling it is the subject of economic sanctions imposed by Canada or the United States, and shall not permit the Service to be accessed from a jurisdiction subject to comprehensive sanctions. The Provider may terminate immediately on becoming aware of a breach of this clause.
16.3 Neither party shall offer, promise, give, solicit or accept any improper payment or inducement in connection with the Agreement.
17. Suspension, termination and effect
17.1 The Customer may cancel at any time through the Account. Cancellation takes effect at the end of the current Term.
17.2 The Provider may suspend or terminate the Account with immediate effect where the Customer is in material breach, where any sum is overdue, where the Customer becomes insolvent or enters any arrangement with creditors, or where continued provision would expose the Provider or another customer to legal, regulatory or security risk. Where practicable, notice and an opportunity to remedy will be given.
17.3 The Provider may terminate for convenience on thirty (30) days' notice, in which case the unused portion of any prepaid Term is refunded pro-rata.
17.4 On termination the right of access ends. For thirty (30) days afterwards the Customer may request an export of Customer Data by electronic mail. After that period the Provider may permanently delete Customer Data without further notice, subject to the retention periods in the Privacy Policy and to any obligation of Applicable Law.
17.5 Termination does not affect any accrued right or liability. Clauses 1, 8, 9, 12, 13, 14, 15, 17.4, 17.5, 18, 19, 21, 22 and 23 survive termination, together with any other provision which by its nature is intended to survive.
18. Dispute resolution
18.1 A party wishing to raise a dispute arising out of or in connection with the Agreement shall first give written notice to the other describing the dispute and the remedy sought.
18.2 The parties shall then use good-faith efforts to resolve it by negotiation between individuals holding authority to settle, for thirty (30) days from the date of that notice, and neither party may commence proceedings before that period has expired.
18.3 Clause 18.2 does not prevent either party from seeking injunctive or other equitable relief at any time, in particular to restrain a breach of clause 7, clause 8 or clause 15, for which damages would not be an adequate remedy and for which no proof of actual damage or posting of security shall be required.
18.4 EACH PARTY AGREES THAT ANY CLAIM SHALL BE BROUGHT IN ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING.
18.5 Each party bears its own costs of the procedure in clause 18.2, without prejudice to any award of costs in subsequent proceedings.
19. Customers in the United States
19.1 This clause 19 applies where the Customer is organised, or has its principal place of business, in the United States, and prevails over clause 21 to the extent of any conflict.
19.2 Any dispute not resolved under clause 18.2 shall be finally resolved by binding arbitration administered by the International Centre for Dispute Resolution under its International Arbitration Rules, before a single arbitrator. The seat of arbitration is Toronto, Ontario, and the language of the arbitration is English. Judgment on the award may be entered in any court of competent jurisdiction. The Federal Arbitration Act governs the interpretation and enforcement of this clause.
19.3 THE PARTIES WAIVE ANY RIGHT TO A TRIAL BY JURY, and agree that arbitration shall proceed on an individual basis only, in accordance with clause 18.4.
19.4 Either party may bring an individual claim in a small claims court of competent jurisdiction in place of arbitration, and either party may seek the relief described in clause 18.3 from any court.
19.5 Where the Customer is a business subject to a United States state privacy law, the Provider acts as a "service provider" or "processor" within the meaning of that law, on the terms of the Data Processing Agreement.
20. Amendment
20.1 The Provider may amend the Agreement. The version in force is that published on this page, with its effective date at the head of it.
20.2 Where an amendment is material and adverse to the Customer, the Provider will give reasonable notice to the Account holder before it takes effect. Continued use after the effective date constitutes acceptance, and a Customer who does not accept may cancel under clause 17.1.
20.3 No term proposed by the Customer, including any term in a purchase order, supplier form or other document issued by the Customer, has effect unless agreed in writing and signed by an authorised officer of the Provider.
21. Governing law and jurisdiction
21.1 The Agreement, and any non-contractual obligation arising out of or in connection with it, is governed by the laws of the Province of Ontario and the federal laws of Canada applicable in that province, without regard to conflict-of-law principles.
21.2 Subject to clause 19, the parties submit to the exclusive jurisdiction of the courts of the Province of Ontario sitting in Toronto.
21.3 The United Nations Convention on Contracts for the International Sale of Goods does not apply.
22. General
22.1 Force majeure. Neither party is liable for failure or delay caused by an event beyond its reasonable control, including act of God, fire, flood, war, terrorism, civil unrest, industrial action, epidemic, governmental action, or failure of telecommunications, utilities or third-party infrastructure. Payment obligations are not excused.
22.2 Assignment. The Customer may not assign, novate or transfer the Agreement without the Provider's prior written consent. The Provider may assign it to an affiliate or in connection with a merger, acquisition, reorganisation or sale of all or substantially all of its assets.
22.3 Subcontracting. The Provider may engage subcontractors and sub-processors and remains responsible for them to the extent set out in the Data Processing Agreement.
22.4 Severability. If any provision is held invalid, illegal or unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, and the remainder of the Agreement continues in full force.
22.5 Waiver. A failure or delay in exercising a right is not a waiver of it, and a single or partial exercise does not preclude any further exercise.
22.6 Notices. Notices to the Provider are given by electronic mail to the address in clause 23. Notices to the Customer are given to the electronic mail address on the Account and are deemed received on the day of sending. No address for service by post is maintained.
22.7 Publicity. Neither party shall use the other's name, logo or trade marks in publicity without prior written consent, save that the Provider may name the Customer in a factual list of customers, which the Customer may require to be withdrawn at any time.
22.8 Change of control. The Customer shall notify the Provider of any change in its control within thirty (30) days, and the Provider may terminate on notice where the acquirer is a competitor of the Provider.
22.9 Order of precedence. Where the documents comprising the Agreement conflict, the Data Processing Agreement prevails on the handling of personal information, the Refund Policy prevails on refund entitlement, and these Terms prevail otherwise.
22.10 Entire agreement. The Agreement constitutes the entire agreement between the parties concerning its subject matter and supersedes all prior discussions, proposals, representations and understandings, save that nothing limits liability for fraudulent misrepresentation.
22.11 Third parties. A person who is not a party to the Agreement has no right to enforce any of its terms, save as provided in clause 13.7.
22.12 Electronic acceptance. Electronic acceptance of the Agreement has the same force as a signed original.
22.13 Language. The parties have expressly required that the Agreement and all related documents be drawn up in English. Les parties ont expressément exigé que la présente convention et tous les documents qui s'y rattachent soient rédigés en anglais.
23. Contracting entity and contact
23.1 The Service is provided by, and the Agreement is entered into with, Inayah Tech Solutions Inc., a corporation incorporated under the laws of the Province of Ontario, Canada, which operates the Service under the trade name Ayzen Dispatch. Every reference in the Agreement to "Ayzen", the "Provider", "we" or "us" is a reference to that corporation.
23.2 Legal notices, questions concerning the Agreement, privacy and data protection requests, billing, refunds and support: support@ayzendispatch.com.
